By submitting an application, the Affiliate understands that the working relationship is that of an independent contractor and nothing in this Agreement creates a joint venture, partnership, or employer-employee relationship. The Affiliate agrees to provide specialty services, as requested by the Client, in a timely, and ethical, manner by interacting with consumers and submitting content via email. The Affiliate reserves his/her right to terminate this Agreement, anytime, with 30 days' written notice. The Affiliate agrees to hold delicate information in strict confidence and not to disclose such information to 3rd parties without prior consent from the Client.
Upon the approval of an application, the Affiliate will gain access to his/her affiliate control panel to keep up-to-date on any new projects that become available. The control panel also offers Affiliate's an opportunity to promote special offers in exchange for additional revenue. The Affiliate will have a non-exclusive, limited term license to use the trademarks, logos, and copyrighted material that is provided by the Client for use solely on the working project. The Affiliate grants a non-exclusive right, and license, to the Client to use his/her finished works for the purposes of promoting, advertising, or marketing the project and warrants to the Client that no other party has any rights to these finished works.
The Client agrees to compensate the Affiliate for his/her involvement in any upcoming projects. The compensation amount will be discussed, and agreed upon, by both parties prior to starting the project. In addition, the Client also agrees to compensate the Affiliate for referrals. For each qualified referral, the Affiliate will receive a 20% commission based on the projects quoted price. Earnings are calculated every second Tuesday and a cheque is mailed out on the following Friday. The Affiliate agrees to keep all affiliate details up-to-date and accurate to avoid potential problems when delivering pay-stubs. In the event of un-finished, or un-satisfactory, work the Affiliate is responsible for making any required changes at the request of the Client and/or Consumers. If the Affiliate is unable to deliver the required changes, the Client reserves the right to terminate the Agreement.
The laws of Halifax Regional Municipality, of the province Nova Scotia in the country of Canada, govern these terms and conditions. Each party acknowledges that they have read, and understood, the Agreement in its entirety and accepts this Agreement voluntarily, having had the opportunity to seek independent legal advice. No waiver, of any breach of any provision, of this Agreement will be effective or binding unless in writing and signed by both parties. No waiver, of any of the provisions of this Agreement, shall be deemed to constitute a waiver unless expressly provided in writing by both parties. In no event will the Client be liable to the Affiliate, or any other third party for damages, such as lost profits; lost savings or other consequential situations arising out of the development of, or inability to develop, these projects, even if advised of the possibility of such damages.
